Types of Registered Office Shifts

The Ministry of Corporate Affairs (MCA) categorizes office shifting into four types, each with its own compliance requirements and timelines.

1. Within Local Limits

Moving within the same city, town, or village. Requires a Board Resolution and filing of Form INC-22 with the ROC within 15 days.

2. Outside Local Limits (Same ROC)

Moving outside the city but remaining under the jurisdiction of the same ROC. Requires passing a Special Resolution in an EGM, filing MGT-14, and INC-22.

3. One ROC to Another (Same State)

Moving jurisdiction (e.g., Mumbai to Pune). Requires Regional Director (RD) approval, Special Resolution, Form INC-23, INC-28, and INC-22.

4. Inter-State Shifting

Moving from one state to another. This is the most complex process, requiring MOA alteration, Central Government/RD approval, newspaper advertisements, and obtaining a fresh Certificate of Incorporation.

Mandatory Documents Required

To successfully file Form INC-22 and related documents, you must prepare the following:

  • Proof of Registered Office: Conveyance deed, lease deed, or rent agreement in the name of the company.
  • Utility Bill: Recent electricity, gas, or telephone bill (not older than 2 months) bearing the new address.
  • NOC: A No Objection Certificate from the owner of the premises.
  • Board Resolutions: Certified true copies of the Board Resolution and/or Special Resolution.
  • List of Creditors: Required specifically for inter-state shifting or moving between ROCs.
